Zarząd Resbud SE z siedzibą w Tallinie informuje o zmianie terminu przekazania raportu rocznego za 2019 rok. Równocześnie Zarząd wskazuje nowy termin przekazania raportu rocznego za 2019 rok na dzień 30 czerwca 2020 roku.

Tym samym pierwotne terminy przekazania raportów okresowych wskazane przez Zarząd w raporcie bieżącym numer 4/2020 z dnia 31 stycznia 2020 roku, raporcie bieżącym numer 15/2020 z dnia 29 kwietnia 2020 roku, raporcie bieżącym 17/2020 z dnia 14 maja 2020 roku oraz 18/2020 z dnia 28 maja 2020 roku ulegają zmianie.

Zarząd wskazuje, iż powodem przesunięcia publikacji raportu rocznego za 2019 rok pozostają nadal kwestie formalne, dotyczące prowadzonego audytu, który jest w toku. Powodem niezakończenia przez audytora prac nad raportem rocznym za 2019 rok, jest konieczność wszechstronnej analizy transakcji międzynarodowych dokonanych jeszcze przed zmianą głównego akcjonariusza spółki. Jednocześnie zarząd wskazuje, że zgodnie z art. 525(8) estońskiego kodeksu handlowego, który stanowi szczególne regulacje związane z COVID raport roczny przekazywany w 2020 roku może zostać złożony do rejestru najpóźniej 31 października 2020 roku. Ponadto regulacje obowiązujące na Giełdzie Papierów Wartościowych w Warszawie pozwalają na publikacje raportu rocznego do końca czerwca 2020 roku.

W przypadku wcześniejszego zakończenia audytu Zarząd przekaże raport w terminie wcześniejszym. O wcześniejszym przekazaniu raportu rocznego zarząd poinformuje z jednodniowym wyprzedzeniem w formie raportu bieżącego.

The management board of Resbud SE, seated in Tallinn informs that, the date of the publication of the annual report for 2019 year has been changed. At the same time, the management board shall sets the new date of publication 2019 annual report for 30 June 2020.

Thus, the original planned dates for the publication of the periodic reports indicated by the Management Board in the current report number 4/2020 of 31 January 2020, in the current report 15/2020 of 29 April 2020, in the current report 17/2020 of 14 May 2020 and in the current report 18/2020 of 28 May 2020 are amended

The management board points out, that the reason for the postponement of the publication of the annual report for 2019 is still the formal issues regarding ongoing audit. The reason for not completing the 2019 annual report by auditor is the need for a comprehensive analyses international transactions made before the change of the company’s main shareholder. At the same time, the Management Board indicates that, in accordance with article 525(8) of the Estonian Commercial Code, which is a specific regulation related to COVID, the annual report submitted in 2020 may be submitted to the register no later than 31 October 2020. In addition, the regulations in force on the Warsaw Stock Exchange allow the publication of annual report until the end of June 2020.

The Management Board shall indicate that if the work concerning audit is completed earlier, the annual report will be submitted earlier. The Management Board will inform of the earlier submission of the annual report one day in advance in the form of a current report.
