Notification of change in shareholding in the total number of votes.The
Management Board of CARLSON INVESTMENTS S.A.
with its registered office in Warsaw (the Company, the Issuer), hereby
informs that on 15 June 2021 it received the following notification from
a Shareholder Carlson Ventures International Limited
with its registered office in Tortola :”On the basis of Article 69(1)(2)
in connection with Article 87(1)(2) of the Act of 29 July 2005 on Public
Offering, Conditions Governing the Introduction of Financial Instruments
to Organised Trading and Public Companies (Journal of Laws of 2005 No.
184, item 1539 with later amendments Carlson Ventures
International Limited with
its registered office in Tortola (hereinafter “CVI Ltd”) announces that
the total share of CVI Ltd
in the total number of votes of CARLSON INVESTMENTS S.A.
with its registered office in Warsaw (hereinafter “the Company”, “the
Issuer”) amounts to 56.12%.
Date
and type of event causing the change in the shareholding concerned by
the notificationIn
connection with the receipt on 14 June 2021 of information on the
registration by the District Court for the Capital City of Warsaw in
Warsaw, XII Commercial Division of the National Court Register on 25 May
2021 of an increase in the Issuer’s share capital and the acquisition by CVI
Ltd of 145,325
series R shares as a result of the implementation of a contract for the
acquisition of financial instruments conducted outside the trading
system, the share of CVI Ltd
in the Issuer’s share capital and the total number of votes in the
Company decreased. The
number of shares held before the change and their percentage share in
the Company’s share capital and the number of votes attached to those
shares and percentage share in the total number of votes:Prior
to the registration of the increase in the Company’s share capital and
the acquisition of 145,325
series R shares, CVI Ltd
held a total of 3,626,787
shares in the Company’s share capital, representing 65.70%
of the Company’s share capital, entitling it to exercise 3,626,787
votes in the Company, representing 65.70%
of the total number of votes in the Company.Prior
to the registration of the capital increase, the total number of shares
in the Company was 5,520,108
The total number of votes at the Company’s general meeting of
shareholders was 5,520,108.The
number of shares and their percentage share in the Company’s share
capital and the number of votes attached to those shares and their
percentage share in the total number of votes: Following
the registration of the capital increase and the acquisition of 145,325
series R shares, CVI Ltd holds
a total of 3,772,112
shares in the Company’s share capital after the increase, representing 56.12%
of the Company’s share capital, entitling it to exercise 3,772,112
votes, which represented 56.12%
in the total number of votes in the Company. Following
the registration of the capital increase, the total number of shares in
the Company is 6,721,685.
The total number of votes at the Company’s general meeting of
shareholders is 6,721,685.
There
are no subsidiaries of the shareholder making the notification who hold
the Company’s shares. There
are no persons referred to in Article 87, section 1, item 3, letter c of
the above mentioned Act in relation to the shareholder. At
the same time, in accordance with article 69.4.5 and 69.4.6 of the Act
of 29 July 2005 on Public Offering, Conditions Governing the
Introduction of Financial Instruments to Organised Trading, and Public
Companies, as amended, CVI Ltd
announces that it is willing to increase its shareholding in the Company
in the coming 12 months.
