CI GAMES S.E.: Wygaśnięcie istotnego porozumienia z akcjonariuszem

Subject: Expiration of significant agreement with a shareholder

The Management Board of CI Games SE with its registered office in Warsaw
(the “Company”), with reference to the current report No. 14/2024 dated
April 19, 2024, announces that the conditional agreement concluded
between the Company and Active Ownership Fund SICAV-FIS SCS (“AOF”) and
Trigon Dom Maklerski S.A.(“TDM”) regarding subscription of series M new
issue shares by AOF (the “Agreement”) has expired. The Agreement expired
due to the failure of a condition, i.e., the parties of the Agreement
did not conclude a pricing agreement including a final subscription
price satisfactory to AOF by April 26, 2024.
