Disclosure of a delayed inside information on receiving a preliminary
offer to acquire assets associated with the operations of an internet
service Telepolis.pl and commencement of negotiations in connection with
a potential transaction.

Content of the report:
The Management Board of Comperia.pl S.A. with its registered office in
Warsaw (“Company“) hereby conveys the following inside information,
which disclosure has been delayed by the Company’s Management Board on
February 2, 2024 in accordance with Article 17(4) of the Regulation (EU)
No 596/2014 of the European Parliament and of the Council on market
abuse and repealing Directive 2003/6/EC of the European Parliament and
of the Council and Commission Directives 2003/124/EC, 2003/125/EC and
2004/72/EC (Official Journal of the European Union L 173 of 2014, page
1, as amended) [“MAR”].
The Management Board of the Company, with reference to current report
no. 14/2023 dated December 11, 2023 hereby informs that on February 2,
2024, received from the interested investor, Online Venture sp. z o.o.
(“Investor”) a preliminary offer to acquire assets associated with the
operations of the internet service Telepolis.pl (“Potential
Transaction”).
In connection with the receipt of the above offer, the Company’s
Management Board has decided to commence negotiations with the Investor
and to provide it and its advisors with key documentation regarding the
operations of the internet service Telepolis.pl.
The Company emphasizes that negotiations regarding the Potential
Transaction are in the early stages, and their outcome, as well as the
likelihood of a successful conclusion, along with the structure and
terms of the Potential Transaction, are uncertain.
As a result of the conducted analysis regarding the event indicated
above, the Company has assessed that it is legitimate to classify the
information about this event as inside information within the meaning of
Article 17(1) MAR, being subject to publication in the form of this
report.
