Contents of the Report:

The Management Board of XTPL S.A. (the “Company”, “Issuer”) reports that
today it has learned that on 22 July 2022 the District Court for
Wrocław-Fabryczna in Wrocław, 6th Commercial Division of the National
Court Register, registered amendments to the Company’s Articles of
Association adopted by the Annual General Meeting of the Company on 30
June 2022 by Resolution No. 20/06/2022 on amendments to the Articles of
Association, on the basis of which a new §18A of the Company’s Articles
of Association was added.

Furthermore, by Resolution No. 21/06/2022, the Annual General Meeting
adopted the consolidated text of the Company’s Articles of Association.

Detailed legal basis: § 5 point 1 and § 6 point 1, 3 and 4 of the
Finance Minister’s Ordinance on current and financial information […].

Appendices:

a) Appendix 1 – detailed information on amendments to the Company’s
Articles of Association;

b) Appendix 2 – consolidated text of the Company’s Articles of
Association.
